These Terms of Use (the “Terms”) govern your access to and use of the website at https://workroom.everypixel.com, https://app.everypixel.com and any features, content, tools, and services made available through that website (collectively, the “Service”), which are owned and operated by Everypixel and its affiliates. Please read these Terms carefully. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

Service Description

Workroom is a software platform that provides tools for creating and processing video content using artificial intelligence technologies. The platform integrates models developed by various third-party providers and enables users to combine, switch, or compare these models within a unified workflow.

Core Functionality

The platform provides a set of AI-powered tools for creating and processing photo, video, and audio content. It includes access to third-party AI models, modular workflows, preset pipelines, and features for maintaining consistency across projects, comparing model outputs, and planning scenes.

Future functionality is not guaranteed and may be modified, delayed, or removed at our discretion.

1. Definitions

  • “Everypixel”, “we”, “us”, or “our” — the entity that operates the Service ( Everypixel Labs Inc. registered at 4364 252nd Pl NE, Issaquah, WA, 98029, USA. Phone (415) 230-2360).
  • “You” or “User” — any individual or entity who accesses or uses the Service.
  • “User Content” — any text, images, video, audio, data, or other material you upload, submit or otherwise provide to the Service.
  • “AI Content” — outputs, media, or other results produced by or through AI models, tools, or workflows available in the Service.
  • “Services” — the website and all features, tools, content, and functionality accessible via the website.

2. Acceptance of Terms

By using the Service you agree to these Terms and to our Privacy Policy and Cookie Policy, which are incorporated here by reference. If you sign up for any paid features or create an account, additional terms (e.g., payment terms) may apply and will be provided at the time of purchase.

3. Payments, Credits, and Subscription Terms

The Service operates on a paid basis using internal credits (“Credits”). Credits may be purchased through recurring subscription plans or other purchase options made available to you. Pricing information and the terms of available plans are provided on the Service’s pricing pages. By purchasing a subscription or Credits, you authorize us (and our payment processors) to charge your selected payment method on a recurring basis until you cancel. Details regarding how subscriptions, renewals, and Credits function are available in the Help Center. Payments are processed through third-party providers such as Stripe, which may offer additional region-specific payment methods depending on your location. We may introduce new payment options in the future at our discretion. Credits have no monetary value, are non-refundable, and may only be used within the Service. Refunds are not generally provided, except in cases of erroneous or duplicate charges, which we may review and handle manually.

4. Eligibility and Accounts

  • You must be at least 16 years old (or the minimum age required by your local jurisdiction) to use the Service.
  • To access certain features you may be required to register for an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
  • You agree to provide complete and accurate registration information and to update that information as necessary.

5. Licensing and Use Rights

The Service provides two distinct types of content licenses, depending on the subscription plan purchased by the User. These licenses define how AI Content and User Content processed through the Service may be used. These licensing rules are specific to the Service and do not correspond to any standardized external licensing frameworks.

5.1. User-Generated Content License (UGC License)

Available under the entry-level subscription plan. Under the UGC License, Users are granted a limited, non-exclusive, non-transferable, non-sublicensable right to use AI Content created or modified through the Service solely for personal, non-commercial purposes.

Examples of permitted use include:

  • posting on personal social media accounts;
  • non-commercial creative projects;
  • private, non-monetized distribution.
  • any commercial use under this license is strictly prohibited.

5.2. Commercial License

Included in the mid-tier and top-tier subscription plans.

The Commercial License grants Users the right to use AI Content created or modified through the Service in commercial projects, including but not limited to:

  • advertising and marketing materials;
  • monetized social media content;
  • business communications;
  • promotional videos;
  • client projects.

The Commercial License is non-exclusive, non-transferable, and non-sublicensable unless explicitly stated otherwise.

5.3. Compliance with License Terms

Users are responsible for ensuring that their use of AI Content complies with the license associated with their subscription plan.

We reserve the right to restrict account access, terminate accounts, or take other appropriate measures if a User violates the applicable licensing terms.

6. Intellectual Property

  • The Service, including its design, text, graphics, logos, images, and software, is protected by copyright, trademark, and other intellectual property laws and is owned or licensed by Everypixel.
  • You may not copy, reproduce, republish, download, post, broadcast, transmit, make available to the public, or otherwise use the Service content except as expressly permitted by these Terms or with Everypixel’s prior written consent.

7. User Content; License to Everypixel

  • By submitting User Content to the Service you represent and warrant that you own or are authorized to use and submit the User Content and that the User Content does not violate these Terms or any applicable law.
  • You grant Everypixel a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, distribute, prepare derivative works of, and otherwise use your User Content in connection with operating and improving the Service, provided that Everypixel will respect any of your stated usage restrictions where technically feasible.
  • You remain responsible for your User Content and for the consequences of submitting it. We may remove or refuse to display User Content that, in our sole discretion, violates these Terms.

8. AI Content and Outputs

  • The Service may provide access to third-party AI models, model routing, and tools that generate AI Content. AI Content may be imperfect, biased, or otherwise problematic. You are responsible for reviewing and verifying AI Content before using or publishing it.
  • Unless otherwise agreed in writing, Everypixel does not guarantee accuracy, fitness for a particular purpose, or non-infringement of AI Content. You assume all risks associated with use of AI Content, including legal risks related to third-party rights.
  • If you upload third-party copyrighted materials for processing by the Service, you represent that you have the necessary rights, permissions, or licenses to do so.

9. Prohibited Conduct

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable law;
  • upload or transmit User Content that infringes third-party intellectual property or privacy rights;
  • attempt to gain unauthorized access to any part of the Service, accounts, or computer systems;
  • interfere with or disrupt the integrity or performance of the Service or the data contained therein;
  • use the Service to create or disseminate malware, spam, or other malicious content;
  • reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by applicable law.

10. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources. We do not control and are not responsible for any third-party content, policies, or practices. Links do not imply endorsement. Your interactions with third parties are solely between you and that third party.

11. Fees, Payment, and Refunds

If we introduce paid features, we will provide pricing and payment terms at the time of purchase. You agree to pay all fees and applicable taxes. Refunds, if any, will be provided in accordance with our then-current refund policy. If there is any inconsistency between these Terms and any paid-features terms, the paid-features terms will control with respect to those features.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EVERYPIXEL AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHER, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. EVERYPIXEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EVERYPIXEL OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVERYPIXEL’S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO EVERYPIXEL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR, IF YOU HAVE NOT PAID ANY AMOUNTS, ONE HUNDRED U.S. DOLLARS (USD $100)).

14. Indemnification

You agree to defend, indemnify and hold Everypixel and its officers, directors, employees, agents, and affiliates harmless from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees and costs, arising out of or in any way connected with (a) your breach of these Terms; (b) your User Content; or (c) your use of the Service.

15. Termination

We may suspend or terminate your access to the Service at any time for any reason, including for violation of these Terms or to comply with legal obligations. Upon termination, any licenses granted to you will immediately terminate and you must stop using the Service. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be submitted to the exclusive jurisdiction of the state or federal courts.

18. Privacy

Our Privacy Policy describes how we collect, use, and disclose your personal data. The Privacy Policy is incorporated into these Terms by reference. By using the Service you also agree to the Privacy Policy.

19. International Use

The Service may be accessible internationally and may involve transfers of data across borders. If you use the Service from outside the country where Everypixel is established, you consent to cross-border data transfers, subject to applicable law.

20. Miscellaneous

  • Entire Agreement: These Terms (together with any documents expressly referred to herein) constitute the entire agreement between you and Everypixel regarding the Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Failure by Everypixel to enforce any provision shall not be construed as a waiver of any provision or right.
  • Changes to the Terms and the Service: We may modify these Terms or the Service at any time. Material changes will be posted on the Service with a new effective date. Your continued use of the Service after the effective date of any change constitutes your acceptance of the changed Terms. We recommend periodically reviewing these Terms.
